Whereas Guangdong No.2 Hydropower Engineering Company Ltd(002060) (hereinafter referred to as ” Guangdong No.2 Hydropower Engineering Company Ltd(002060) “) intends to issue shares to purchase 100% equity of Guangdong Construction Engineering Group Co., Ltd. held by Guangdong Construction Engineering Group Holding Co., Ltd. and raise supporting funds (hereinafter referred to as “this transaction”). As the independent financial advisor of Guangdong No.2 Hydropower Engineering Company Ltd(002060) this transaction, in accordance with the provisions of Article 13 of the guidelines for the supervision of listed companies No. 7 – supervision of abnormal stock transactions related to major asset restructuring of listed companies, the company hereby explains whether it is not allowed to participate in any major asset restructuring of listed companies as follows:
Neither the company nor the handling personnel of the project have been placed on file for investigation or investigation due to insider trading related to major asset restructuring. In the past 36 months, there has been no administrative punishment by the CSRC or criminal responsibility investigated by judicial organs according to law due to the above matters.
