In accordance with the company law of the people’s Republic of China, the rules for independent directors of listed companies and other laws, regulations and normative documents, as well as the articles of association, the working system of independent directors and other relevant provisions, as Profit Cultural & Creative Group Co.Ltd(300640) independent directors, based on the position of independent judgment, after carefully reviewing the relevant proposals and materials provided by the board of directors of the company, We hereby express the following prior approval opinions on the relevant matters considered at the 12th meeting of the Fourth Board of directors of the company:
1、 Prior approval opinions on employing the company’s 2022 financial audit institution
Huaxing Certified Public Accountants (special general partnership) has business qualification related to securities and futures, and has sufficient independence, professional competence and investor protection ability. In the course of practice, the Institute adheres to the principle of independent audit and earnestly performs the responsibilities of audit institutions, which is conducive to improving the quality of audit work of listed companies and protecting the interests of listed companies and other shareholders, especially the interests of minority shareholders. Therefore, we agree to renew the appointment of Huaxing Certified Public Accountants (special general partnership) as the company’s financial audit institution in 2022, and agree to submit the proposal to the 12th meeting of the Fourth Board of directors for deliberation.
