Guangdong Transtek Medical Electronics Co.Ltd(300562) (hereinafter referred to as “the company”) held the 27th meeting of the third board of directors and the 25th meeting of the third board of supervisors on March 17, 2022, deliberated and adopted the proposal on the company and its subsidiaries applying for comprehensive credit line from the bank in 2022. The relevant matters are hereby announced as follows: I. Basic information of applying for comprehensive credit line from the bank this time
In order to meet the needs of the company’s operation and development, the board of directors of the company agreed that the company and its subsidiaries should apply to banks and other financial institutions for a comprehensive credit line of no more than 2 million yuan in 2022. The validity period of this application for a comprehensive credit line from the date of deliberation and approval of the general meeting of shareholders to the date of holding the annual general meeting of shareholders in 2022. Within the credit period, the line can be recycled and rolled. The form and purpose of credit extension include but are not limited to working capital loan, fixed asset loan, project loan, acceptance bill, letter of guarantee, letter of credit, bill discount, financial derivatives and other comprehensive businesses. The above credit line is not equal to the actual financing amount of the company. The specific cooperative bank and the final financing amount and form will be further negotiated and determined with relevant banks in the future, subject to the officially signed agreement or contract. In order to handle the application for the above-mentioned bank comprehensive credit line and subsequent related loans, guarantees and other matters, the board of directors of the company requests the general meeting of shareholders to authorize the chairman of the company or his authorized person to sign contracts, agreements, vouchers and other legal documents related to credit (including but not limited to credit, loans, guarantees, mortgages, pledges, financing, financial derivatives, etc.) on behalf of the company within the above-mentioned credit line, and go through relevant procedures.
This application for comprehensive credit line is to meet the needs of production, operation and construction development of the company and its subsidiaries, and is conducive to promoting the development of the company. At present, the company’s application for credit will not bring significant risks to the company’s good operation and debt repayment ability.
