Remuneration plan for directors and supervisors of the company in 2022
In order to further standardize the performance appraisal and salary management of the company’s directors and supervisors, encourage and restrict the directors and supervisors to work diligently and promote the company’s benefit growth and sustainable development, in accordance with the provisions of the company law, the securities law, the articles of association and other relevant laws, administrative laws and regulations, departmental rules and normative documents, and comprehensively consider the actual situation of the company, the salary level and job contribution of industries and regions, Confirmed by the remuneration and assessment committee, it is proposed to formulate the remuneration scheme for directors and supervisors of the company in 2022 as follows:
1、 This plan is applicable to the third directors (including independent directors) and supervisors of the target company
2、 The application period is from the date of deliberation and approval of this proposal to the date of 2022 annual general meeting of shareholders;
3、 Salary (allowance) standard
（1） Directors’ remuneration (allowance)
1. The independent directors of the company implement the allowance system. The allowance standard in 2022 is 100000 yuan / year (including tax), which is paid monthly;
2. External directors of the company (refer to non independent directors who do not hold other positions in the company and subsidiaries) do not receive director’s allowance from the company;
3. Internal directors of the company (except independent directors and external directors) receive remuneration and performance according to their positions in the company, and will not receive director’s allowance separately.
（2） Remuneration (allowance) of supervisors
1. The employee representative supervisor shall receive the salary and performance according to his position in the company, and shall not receive the supervisor’s allowance separately;
2. The shareholder representative supervisor shall not receive supervisor allowance from the company.
4、 Other provisions
The term of office of directors and supervisors shall be calculated according to the reasons for their resignation and dismissal.
