In order to further standardize the performance appraisal and salary management of the company’s senior managers, encourage and restrict the senior managers to work diligently and promote the company’s benefit growth and sustainable development, according to the provisions of the company law, the securities law, the articles of association and other relevant laws, administrative regulations, departmental rules and normative documents, comprehensively consider the actual situation of the company, the salary level and job contribution of industries and regions, Confirmed by the remuneration and assessment committee, it is proposed to formulate the remuneration scheme for senior managers of the company in 2022 as follows:

1、 This plan is applicable to senior managers of the target company

2、 The application period is from the date of deliberation and approval of this proposal to the date of 2022 annual general meeting of shareholders; 3、 Salary (allowance) standard

(I) remuneration of senior management

The company’s senior managers comprehensively evaluate the salary performance according to the specific management positions they hold in the company, the annual work assessment results, with reference to the salary level of similar positions in the same industry, combined with the company’s annual operating performance and other factors. The salary structure is: basic salary + performance salary.

The basic salary is to meet their basic living needs and job security. The design and standard Determination of the basic salary mainly take into account the value of the post. The basic salary is paid monthly in principle. The specific payment arrangement is subject to the labor contract or employment contract signed between the company and senior managers. Performance pay is the annual performance reward given to senior managers according to the completion of annual performance appraisal, which is linked to the annual operating performance of the company. 4、 Other provisions

If the senior management of the company leaves the post due to change of office, re-election, resignation within the term of office, dismissal and other reasons, it shall be calculated and paid according to their actual term of office.
