Changying Xinzhi Technology Co.Ltd(002664) (hereinafter referred to as “the company”) deliberated and adopted the proposal on applying for comprehensive credit line from the bank in 2022 at the 18th meeting of the Fourth Board of directors on March 16, 2022. The details are as follows:
In order to meet the needs of the company’s operation, management and development and broaden financing channels, the company (including its subsidiaries included in the company’s consolidated statements) plans to apply to relevant banks for a comprehensive credit line of no more than 380 million yuan in 2022. The details of the company (including its subsidiaries included in the scope of the company’s consolidated statements) planning to apply for comprehensive credit line from relevant banks are shown in the following table:

The above bank credit line can be recycled within the authorization period, which is mainly used for long-term and short-term loans, bank acceptance bills, letter of guarantee, factoring, opening letters of credit, trade financing, bill discount and other bank credit businesses of the company’s daily production and operation and project construction.
The comprehensive credit line applied by the company and its holding subsidiaries to the bank in 2022 shall finally be subject to the credit line actually approved by the bank, and the specific financing amount shall be determined according to the actual needs of the company. The above-mentioned comprehensive bank credit granting matters can only be implemented after being submitted to the 2021 annual general meeting of shareholders of the company for deliberation and approval.
In order to ensure the financing demand, the general meeting of shareholders of the company is hereby requested to authorize the chairman of the company to handle the financing matters of the company within the above comprehensive credit line, and sign all contracts, agreements, vouchers and other legal documents related to credit (including but not limited to credit, loan, guarantee, mortgage and pledge, financing, etc.) within the above credit line. The above-mentioned comprehensive bank credit granting matters can only be implemented after being submitted to the 2021 annual general meeting of the company for deliberation and approval. The authorization period is from the date of deliberation and approval at the 2021 annual general meeting of the company to the date of convening the 2022 annual general meeting of the company.
