In accordance with laws, regulations, normative documents, the articles of association, the working system of independent directors and other relevant provisions, as an independent director of Shenzhen Dynanonic Co.Ltd(300769) (hereinafter referred to as the “company”), based on the position and attitude of seeking truth from facts and independent judgment, we have verified the relevant matters of the 24th Meeting of the third board of directors of the company, and now express our independent opinions as follows:
1、 Independent opinions on the guarantee of additional application for comprehensive credit from financial institutions
Ji Xuewen and Kong Lingyong, the company’s related parties, intend to provide guarantee for the company (including wholly-owned subsidiaries and holding subsidiaries) to apply for additional comprehensive credit to financial institutions without charging any fees or requiring the company to provide counter guarantee, which reflects the support for the company and is conducive to the operation and development of the company; The guarantee provided by the company to the subsidiaries within the scope of consolidated statements is based on the needs of the daily business of the subsidiaries. The subsidiaries are in stable operation, good credit status and controllable guarantee risk. The above guarantee matters do not damage the interests of the company and all shareholders, especially non affiliated shareholders and minority shareholders. This proposal constitutes a connected transaction and has been approved by us in advance. Therefore, we unanimously agree to this matter and agree to submit it to the first extraordinary general meeting of shareholders of the company in 2022 for deliberation.
