Announcement on the resignation of the company’s vice chairman and independent directors

Anhui Ankai Automobile Co.Ltd(000868) (hereinafter referred to as “the company”) the board of directors received a written resignation application from Mr. Wu Xiaodong, vice chairman of the company, and Ms. Zhao Huifang, independent director of the company on March 16, 2022. Mr. Wu Xiaodong applied to resign as vice chairman, director and member of the strategy committee of the board of directors due to job change; Ms. Zhao Huifang applied to resign as an independent director of the company and a member of the audit committee and the remuneration and assessment committee of the board of directors due to the expiration of her term of office. As of the disclosure date of this announcement, Mr. Wu Xiaodong and Ms. Zhao Huifang did not hold shares in the company.
According to the company law, the articles of association and other provisions, Mr. Wu Xiaodong’s resignation did not cause the number of the board of directors of the company to be lower than the legal minimum, which will not affect the normal operation of the board of directors of the company. His resignation report will take effect from the date of delivery to the board of directors.
