We have carefully checked the occupation of funds by the controlling shareholders and other related parties of the company. In 2021, the company strictly followed the relevant provisions of the notice on Several Issues Concerning Regulating the capital exchanges between listed companies and related parties and the external guarantee of listed companies issued by the CSRC and the company’s system for preventing the occupation of company funds by controlling shareholders and related parties, The controlling shareholders and other related parties of the company do not occupy non operating funds of the company. 2、 Special instructions of independent directors on the external guarantee of the company
We have carefully checked the external guarantee of the company, and now we make the following special explanation for the external guarantee in 2021:
1. The company has formulated the external guarantee management system, which defines the conditions of external guarantee, the approval authority of external guarantee, decision-making procedures, information disclosure and management, etc;
2. During the reporting period, the company was able to strictly comply with relevant laws and regulations, the management system of external guarantee and the articles of association, and strictly control the risk of external guarantee. There is no guarantee for shareholders, controlling subsidiaries of shareholders, affiliated enterprises of shareholders and other related parties with less than 50% of the company’s shares, any unincorporated unit or individual;
3. During the reporting period, there was no external guarantee of the company, and by the end of the reporting period, the balance of external guarantee of the company was RMB 10000;
4. The company may not bear the guarantee liability due to the default of the guaranteed party’s debt.
