Avary Holding (Shenzhen) Co.Limited(002938) (Shenzhen) Co., Ltd. (hereinafter referred to as “the company”) plans to convene the 17th meeting of the second board of directors of the company to review the proposal on renewing the appointment of accounting firm in 2022. According to the company’s articles of association, working system of independent directors and other regulations, as independent directors of the company, we received the proposal materials to be considered before the meeting of the board of directors of the company. We carefully reviewed the relevant materials and made the following prior approval opinions based on independent judgment:
PricewaterhouseCoopers Zhongtian Certified Public Accountants (special general partnership) (hereinafter referred to as “PricewaterhouseCoopers”) has rich audit service experience, has conscientiously and excellently completed various audits of the company in 2021, can meet the requirements of the company’s financial audit, and can independently audit the company’s financial situation, There is no damage to the overall interests of the company and the rights and interests of minority shareholders. We agree to renew the appointment of PWC as the company’s auditor in 2022 and agree to submit the above matters to the board of directors for deliberation.
