Letter of commitment on acting as independent financial adviser for Baoding Technology Co.Ltd(002552) major asset restructuring
Citic Securities Company Limited(600030) (hereinafter referred to as ” Citic Securities Company Limited(600030) ” or “independent financial consultant”) accepted the entrustment of Baoding Technology Co.Ltd(002552) (hereinafter referred to as ” Baoding Technology Co.Ltd(002552) ” or “listed company”) to act as the independent financial consultant of Baoding Technology Co.Ltd(002552) this issuance of shares to purchase assets and raise supporting funds and related party transactions (hereinafter referred to as “this transaction”) Citic Securities Company Limited(600030) make the following commitments on the basis of full due diligence and internal verification:
(I) the independent financial adviser has fulfilled the obligation of due diligence in accordance with the provisions, and has sufficient reasons to believe that there is no material difference between the professional opinions expressed and the documents disclosed by the listed company and the counterparty;
(II) the independent financial advisor has fully verified the documents disclosed by the listed company and the counterparty, and is sure that the content and format of the disclosure documents meet the requirements;
(III) the independent financial adviser has sufficient reasons to believe that the trading plan of the listed company complies with laws, regulations, relevant provisions of the CSRC and the stock exchange, and the information disclosed is true, accurate and complete, without false records, misleading statements or major omissions;
(IV) the independent financial advisor’s professional opinions on the transaction have been submitted to the independent financial advisor’s core institution for review, and the core institution agrees to issue relevant professional opinions;
(V) the independent financial adviser has taken strict confidentiality measures, strictly implemented the risk control and internal isolation system, and there are no problems of insider trading, market manipulation and securities fraud from the time of contact with the listed company to the time of acting as the independent financial adviser.
