In this transaction, the independent financial advisor does not engage a third party directly or indirectly. 2、 Verification of paid employment of a third party by a listed company

2. Listed companies employ Beijing Dacheng Law Firm as legal counsel;
3. The listed company employs Tianzhi international accounting firm (special general partnership) as the audit institution of the target company;
4. The superior company employs Zhitong Certified Public Accountants (special general partnership) as the review organization of the pro forma statements of listed companies;
5. The listed company employs North Northking Information Technology Co.Ltd(002987) ASI asset appraisal firm (special general partnership) as the appraisal institution.
The above intermediaries are securities service institutions hired according to law in this transaction, and the hiring behavior is legal and compliant. Except for the direct or indirect engagement of a third party by the listed company.
3、 Concluding observations of the independent financial adviser
As of the date of issuance of this verification opinion, the independent financial advisor has not directly or indirectly hired other third parties for compensation in this transaction; In this transaction, except for Citic Securities Company Limited(600030) , Beijing Dacheng Law Firm, Tianzhi International Certified Public Accountants (special general partnership), Zhitong Certified Public Accountants (special general partnership) and Bei Northking Information Technology Co.Ltd(002987) ASI asset appraisal firm (special general partnership), the listed company did not directly or indirectly hire other third parties for compensation, Comply with the relevant provisions of the opinions on strengthening the risk prevention and control of honest practitioners such as securities companies hiring a third party in investment banking business.
