Announcement on the remuneration scheme of the first directors, supervisors and senior managers of the company

Cngr Advanced Material Co.Ltd(300919) (hereinafter referred to as “the company”) held the 27th meeting of the first board of directors and the 15th meeting of the first board of supervisors on March 14, 2022, deliberated and adopted the proposal on the remuneration scheme of directors and senior managers of the company in 2022 and the proposal on the remuneration scheme of supervisors of the company in 2022 respectively. The relevant information is hereby announced as follows:

1、 Applicable object and term of this scheme

This plan is applicable to the first session of non independent directors, independent directors, supervisors and senior managers of the company, and is valid from January 1, 2022 to December 31, 2022.

The remuneration of non independent directors, independent directors and supervisors shall be submitted to the general meeting of shareholders for deliberation.

2、 Salary standard

(I) remuneration of independent directors of the company

The per capita allowance standard of the first independent director of the company is 70000 yuan / year (including tax).

(II) remuneration of non independent directors and senior managers of the company

1. The first non independent directors holding specific management positions in the company shall receive basic salary and performance salary without allowance in accordance with the labor contract signed with the company and the salary management measures for directors, supervisors and senior managers of the company. The first non independent directors who do not hold other positions in the company will not receive allowances.

2. The first senior managers of the company receive basic salary and performance salary without allowance in accordance with the labor contract signed with the company and the salary management measures for directors, supervisors and senior managers of the company.

(III) remuneration of supervisors of the company

The first supervisor who does not hold other positions in the company will not receive allowance, basic salary and performance salary. Supervisors holding other specific positions in the company shall receive basic salary and performance salary in accordance with the labor contract signed with the company and the provisions of the salary management measures for directors, supervisors and senior managers of the company.

3、 Distribution method

(I) payment method of independent director’s allowance

The allowance for independent directors is paid on an average monthly basis without assessment.

(II) salary payment method of non independent directors and senior managers

The first non independent directors and senior managers who hold specific management positions in the company shall receive basic remuneration according to the labor contract signed with the company and be paid on a monthly basis; The performance salary shall be assessed and paid according to the provisions of the salary management measures for directors, supervisors and senior managers of the company.

(III) payment method of supervisors’ remuneration

Supervisors holding other specific positions in the company shall receive basic salary according to the labor contract signed with the company and be paid on a monthly basis; The performance salary shall be assessed and paid according to the provisions of the salary management measures for directors, supervisors and senior managers.

4、 Other provisions

1. If the directors, supervisors and senior managers of the company leave their posts due to change of office, re-election, resignation during their term of office and other reasons, the remuneration shall be calculated and paid according to their actual term of office;

2. The above salary is tax inclusive income, and the personal income tax involved shall be uniformly withheld and paid by the company;

3. The basic salary and performance salary can be adjusted appropriately according to the industry conditions and the actual production and operation conditions of the company;

4. Matters not covered in this plan shall be implemented in accordance with national laws and regulations, departmental rules, normative documents, articles of association and other laws and regulations.
