Shenzhen Sinovatio Technology Co.Ltd(002912) (hereinafter referred to as “the company” or “the company”) formulates the remuneration plan for senior managers of the company in 2022 in accordance with relevant national laws and regulations, the articles of association, the working rules of the remuneration and assessment committee and other relevant systems, in combination with the actual operation of the company and with reference to the remuneration level of the industry and region.

1、 Applicable objects of this scheme

All senior managers during their term of office.

2、 Application period of this scheme

It shall take effect from the date of approval by the board of directors of the company, and shall become invalid after the new remuneration scheme is reviewed by the board of directors of the company.

3、 Salary principle

1. Responsibility principle: the salary standard shall be determined according to the factors such as job position, work performance, contribution and the combination of rights and responsibilities.

2. Competition principle: the salary level shall refer to the standards of similar listed companies in the same industry and region to maintain the attractiveness of the company’s salary and its competitiveness in the market.

3. Performance principle: the salary standard is determined on the basis of performance, and the salary includes basic salary and performance bonus.

4、 Salary standard

1. The remuneration of senior managers of the company includes basic remuneration and performance bonus;

2. The basic salary of senior managers of the company shall be paid on a monthly basis;

3. The performance bonus of senior managers of the company shall be calculated according to the operating performance of the company in the current year, the personal performance evaluation of senior managers and other factors, and the calculation results shall be submitted to the salary and evaluation committee of the board of directors of the company for evaluation, which is uncertain.

The salary of the company’s senior managers in 2022 is specifically proposed as follows:

Ling Dongsheng, general manager, with a basic salary of 708000 yuan / year (including tax) and a performance bonus in 2022;

Wang Mingyi, deputy general manager, has a basic salary of 576000 yuan / year (including tax) and a performance bonus in 2022;

Li Bin, deputy general manager and Secretary of the board of directors, with a basic salary of 576000 yuan / year (including tax) and a performance bonus in 2022;

Xue Erbai, chief financial officer, has a basic salary of 420000 yuan / year (including tax) and a performance bonus in 2022.

5、 Other provisions

1. The above-mentioned basic salary amount is the pre tax amount. The company will withhold and pay individual income tax, various social insurance, housing provident fund and other expenses in accordance with the relevant provisions of the state and the company, and the rest will be paid to individuals on a monthly basis.

2. If senior managers accept the assessment process of the company and need to be jointly and severally liable for serious work mistakes in their fields, the basic salary will be subject to floating deduction according to the salary management system of the company. 3. If the senior management of the company leaves office due to change of term, re-election, resignation within the term of office and other reasons, it shall be calculated and distributed according to their actual term of office.
