The prior approval opinions of independent directors on the renewal of the accounting firm are in accordance with the rules for independent directors of listed companies, the Listing Rules of Shenzhen Stock Exchange, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board, the articles of association and other relevant provisions, As an independent director of Shenzhen Kingkey Smart Agriculture Times Co.Ltd(000048) (hereinafter referred to as “the company”), we carefully reviewed the proposal on renewing the appointment of accounting firm to be submitted to the second meeting of the 10th board of directors of the company for deliberation, and issued the following prior approval opinions:
Dahua Certified Public Accountants (special general partnership) (hereinafter referred to as “Dahua firm”) has relevant practice certificates and qualifications to engage in Securities and futures related businesses, and has sufficient independence, professional competence and investor protection ability. During the period of serving as the company’s audit institution in 2021, Dahua firm adhered to the audit principles of independence, fairness and objectivity, and completed various audit work well. The continued employment of Dahua firm as the company’s audit institution in 2022 is conducive to continue to ensure the quality of the company’s annual audit work and protect the interests of the company and all shareholders. Therefore, we acknowledge and agree to submit the matter to the board of directors of the company for deliberation.
