With regard to the announcement of the company’s remuneration plan for directors, supervisors and senior managers in 2022, the company and all directors guarantee that the contents of the announcement are true, accurate and complete, and there are no false records, misleading statements or major omissions in the announcement.

According to the articles of association and the actual operation and development of the company, and with reference to the salary level of the industry and region, the salary and assessment committee of the board of directors has formulated the salary plan for the directors, supervisors and senior managers of the company in 2022, as follows:

1、 Applicable to: directors, supervisors and senior managers receiving remuneration in the company.

2、 Application period: from January 1, 2022 to December 31, 2022

3、 Salary standard

1. Directors’ remuneration

(1) Non independent directors holding specific management positions shall receive corresponding remuneration according to their specific positions in the company.

(2) The allowance for independent directors employed by the company is 60000 yuan / year (including tax)

2. Remuneration of supervisors

Supervisors of the company shall be paid according to their actual work positions in the company, and supervisors who do not take up actual work shall not be paid in the company.

2. Remuneration of senior management of the company

Senior managers of the company shall receive remuneration according to the relevant remuneration regulations of the company according to their specific management positions in the company.

4、 Other

1. The basic annual salary of non independent directors, supervisors and senior managers of the company shall be paid on a monthly basis; Independent directors are paid quarterly; The expenses actually incurred by directors, supervisors and senior managers due to attending the company’s meetings shall be reimbursed by the company;

2. If the directors, supervisors and senior managers of the company leave their posts due to change of office, re-election, resignation during their term of office and other reasons, they shall be calculated and paid according to their actual term of office;

3. The performance salary of the above personnel will fluctuate due to the annual operation of the company; 4. The above salaries are pre tax amounts, and the individual income tax involved shall be uniformly withheld and paid by the company;

5. In accordance with the requirements of relevant laws, regulations and the articles of association, this remuneration plan must be submitted to the general meeting of shareholders for deliberation and approval before it becomes effective.
