In accordance with the rules for independent directors of listed companies, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of main board listed companies and other relevant laws, regulations and the articles of association, as independent directors of Weihai Guangtai Airport Equipment Co.Ltd(002111) (hereinafter referred to as “the company”), we express independent opinions on the appointment of senior executives of the company as follows:
1. This appointment is made on the basis of fully understanding the comprehensive situation of the employed personnel, such as their educational background, professional experience and professional quality, with their consent, and the appointment procedures comply with relevant regulations.
2. The senior executives employed this time have not been found to be prohibited from serving as senior executives of the company as stipulated in the company law and the articles of association, have not been identified as market prohibited by the China Securities Regulatory Commission and have not been lifted, and have not been subject to any punishment and punishment by the China Securities Regulatory Commission and Shenzhen Stock Exchange.
3. Agree that the board of directors of the company appoint Mr. Li Wenxuan as the general manager of the company, Mr. Li Qin, Mr. Wang Mingliang, Mr. Luo Feng and Mr. Shang Yu as the deputy general manager of the company, Mr. Luo Feng as the Secretary of the board of directors, Mr. Yu Haiyang as the financial director of the company and Mr. Ju Yanwei as the securities affairs representative of the company, Appoint Mr. Shao Xianfeng as the head of the company’s internal audit organization.
