Independent opinions on Authorizing overseas subsidiaries to invest in fixed income products
As an independent director of the company, in accordance with the articles of association, the working system of independent directors of the company, the measures for the administration of securities investment of the company and other relevant provisions, we are responsible to the company and all shareholders and follow the principle of seeking truth from facts, The company carefully inspected and implemented the contents of the proposal on Authorizing overseas subsidiaries to invest in fixed income products submitted to the 49th interim meeting of the 10th board of directors for deliberation, and expressed independent opinions as follows:
(I) on the premise of ensuring the normal operation of the company, the company authorizes two overseas subsidiaries to invest in fixed income products, which helps to improve the efficiency of the company’s capital use and the overall performance level of the company.
(II) the company has formulated the measures for the administration of securities investment of the company, and established a sound business process, approval authority, supervision mechanism and risk control measures for securities investment (including investment in fixed income products), which provides institutional guarantee for the risk control of this investment.
(III) the decision-making process of the company’s authorized investment matters this time complies with relevant laws and regulations and relevant provisions of the company, and there is no situation damaging the interests of the company and minority shareholders.
In conclusion, we agree that the company authorizes overseas subsidiaries Oceanwide Holdings Co.Ltd(000046) International Capital Co., Ltd. and Oceanwide Holdings Co.Ltd(000046) international 2017 Co., Ltd. to invest in fixed income products.
