As an independent director of the company, we reviewed the proposal on the prediction of the company’s daily connected transactions in 2022 to be submitted to the 49th extraordinary meeting of the 10th board of directors for deliberation, and expressed the following opinions:
After understanding the estimated daily related party transactions in 2022 provided by the company, we believe that the listed daily related party transactions are the contents of the normal operation of the company’s business activities, the necessity is certain, the pricing is fair and reasonable, and does not harm the interests of the company or its shareholders. Therefore, we agree to submit this matter to the 49th interim meeting of the 10th board of directors of the company for deliberation.
It is hereby declared that our prior approval opinion does not mean that we are obliged to vote in favour of the above proposal at the board meeting.
