Independent opinions of independent directors
In accordance with the relevant provisions of laws and regulations and the articles of association, as an independent director of Nafine Chemical Industry Group Co.Ltd(000737) (hereinafter referred to as “the company”), we have carefully reviewed the relevant materials of the company’s senior managers reviewed by the board of directors and agreed that Mr. Jiang Weidong, Mr. Ding Hong, Mr. Wang Hongwei, Mr. LV Yong, Mr. Xue Yonghong Mr. Yang Yuntao has rich operation and management experience, has the qualification of senior managers of the company, and is competent for the requirements of the post responsibilities employed. The above-mentioned personnel have not been punished by the CSRC and other relevant departments or the stock exchange, nor have they been identified as market prohibited persons by the China Securities Regulatory Commission and the prohibition period has not been lifted. The appointment procedures comply with the relevant provisions of the company law and the articles of association, and agree to the appointment of the above-mentioned personnel by the board of directors.
