Independent opinions on relevant matters of the 15th meeting of the 11th board of directors Jinke Property Group Co.Ltd(000656) (hereinafter referred to as “the company”) convened the 15th meeting of the 11th board of directors on December 31, 2021, considered and adopted relevant matters. As an independent director of the company, we have carefully considered the relevant matters considered at this meeting, In accordance with the guiding opinions on the establishment of independent director system in listed companies, the standards for the governance of listed companies, several provisions on strengthening the protection of the rights and interests of shareholders of social public shares, the stock listing rules of Shenzhen Stock Exchange and the articles of association of the company issued by the CSRC, we hereby express the following independent opinions on relevant matters:

1、 Independent opinions on increasing the guarantee amount of some joint-stock real estate project companies

The guarantee provided by the company for the joint-stock company this time is to meet the requirements of financial institutions, support the operation and development of the joint-stock company, be conducive to the development and construction of the joint-stock company, comply with the interests of the company and all shareholders, and in principle, provide guarantee for the financing of the joint-stock company according to the shareholding ratio with other shareholders in accordance with the joint venture and cooperation agreement. If, according to the requirements of financial institutions, the company provides guarantee in excess of the shareholding ratio, in order to further prevent the guarantee risk, the company will require other shareholders or joint-stock companies to provide counter guarantee after providing the guarantee, so as to ensure fairness and reciprocity. The contents and decision-making procedures of the external guarantee comply with the provisions of relevant laws, regulations, normative documents such as the stock listing rules of Shenzhen Stock Exchange, the guidelines for the standardized operation of listed companies of Shenzhen Stock Exchange and the articles of association. The transaction is fair and reasonable and does not harm the interests of the company and the majority of shareholders, It is agreed that the company will increase the guarantee amount for some joint-stock real estate project companies.

2、 Independent opinions on the holding subsidiary’s providing phased guarantee for bank mortgage loans of house purchase customers. This mortgage loan guarantee belongs to the developer’s guarantee behavior in the process of bank mortgage in the sales of plant and commercial housing in the company’s industrial project Park, and is a transitional guarantee measure to cooperate with the house sales of the holding subsidiary of the company, It conforms to the business practices of the real estate industry, and the guarantee risk is controllable, and there is no damage to the interests of the company and shareholders.

This mortgage loan guarantee helps to speed up the product sales and capital return of the company’s development projects, meets the company’s daily business needs, does not have a significant impact on the company’s normal operation, and the review procedures comply with the provisions of the company law, the articles of association and other relevant laws and regulations. It is agreed that the holding subsidiary will provide phased guarantee for bank mortgage loans of house purchase customers.
