Sichuan Jiuzhou Electronic Co.Ltd(000801) (hereinafter referred to as “the company”) disclosed the announcement on the resignation of directors and senior managers (Announcement No.: 2021034) in the securities times and cninfo.com on November 25, 2021. Mr. Xiahui resigned as a director, member of the special committee and general manager of the 12th board of directors due to job change, After resigning from the above positions, Mr. Xiahui will not hold any positions in the company and its holding subsidiaries.
In order to ensure the normal operation of the board of directors of the company, in accordance with the company law of the people’s Republic of China, the articles of association and other relevant provisions, and in combination with the nomination committee of the board of directors and the nomination of controlling shareholders, the proposal on adding non independent directors was deliberated and adopted at the fourth meeting of the 12th board of directors of the company, Mr. LAN Yingjie (see Annex for resume) is nominated as a candidate for non independent director of the 12th board of directors of the company, and his term of office starts from the date of deliberation and approval by the general meeting of shareholders of the company to the expiration of the term of office of the current board of directors.
Mr. LAN Yingjie has served as a director and senior executive of the company since August 29, 2017. Due to the general election and the adjustment of the company’s work on October 20, 2020, Mr. LAN Yingjie will no longer serve as a director of the company since October 20, 2020. After leaving office, he will serve as a senior executive of the company and hold relevant positions in the company’s subsidiaries. During his tenure, Mr. LAN Yingjie is diligent and dedicated, has rich experience in management, is familiar with the company’s relevant business, and his qualification meets the conditions for serving as a director and manager of a listed company. After verification, Mr. LAN Yingjie did not directly hold the company’s shares when he left office on October 20, 2020, did not buy or sell the company’s shares during his leave, and his immediate family members did not buy or sell the company’s shares during his leave, which did not violate the public commitments made by him during his tenure as a director and senior manager of the company, and complied with the relevant regulations of the CSRC and Shenzhen Stock Exchange.
The independent directors of the company expressed their independent opinions on the qualifications and nomination procedures of Mr. LAN Yingjie’s non independent director candidates.
After the completion of the above additional directors, the total number of directors concurrently serving as senior managers and employees’ representatives among the members of the 12th board of directors of the company does not exceed half of the total number of directors of the company, meeting the requirements of relevant laws and regulations.
