Shenzhen Prince New Materials Co.Ltd(002735) (hereinafter referred to as “the company”) recently received a total performance compensation of 7808935.97 yuan from Chongqing junkuan Technology Co., Ltd., the former shareholder of Chongqing fuyida Technology Co., Ltd., and Zhou Ying and Cheng Lin, the former actual controllers (hereinafter referred to as “the performance commitment party”). The details are as follows:
1、 Overview of performance commitments
At the 25th meeting of the Fourth Board of directors and the second extraordinary general meeting of shareholders in 2021 held on May 25, 2021 and June 16, 2021, the company considered and adopted the proposal on confirming the performance compensation scheme of Chongqing fuyida Technology Co., Ltd. and signing the supplementary agreement to the equity transfer and capital increase agreement (hereinafter referred to as the “supplementary agreement”). According to the supplementary agreement: the performance commitment party shall remit the cash compensated by profits (i.e. 7808935.97 yuan) to the account designated by the company before December 31, 2021 (including the current day). 2、 Performance compensation performance
As of December 31, 2021, the company has received performance compensation of 7808935.97 yuan from the performance commitment party. So far, the performance commitment party has fulfilled its performance commitment compensation obligation to the company.
