In accordance with the relevant requirements of the guidance on the pilot implementation of the employee stock ownership plan by listed companies and the self regulatory guidelines for listed companies of Shanghai Stock Exchange No. 1 – standardized operation of the CSRC, the resolutions of the first holders’ meeting of the company’s employee stock ownership plan in 2022 are hereby announced as follows:
1、 Convening of shareholders’ meeting
The first holders’ meeting of the company’s 2022 ESOP was held on March 10, 2022 in the form of on-site and communication. The meeting was convened and presided over by Ms. Liu Xianfang, Secretary of the board of directors of the company. A total of 219 holders attended the meeting, representing 247.97 million shares of the ESOP, accounting for 100% of the total share of the ESOP The convening and voting procedures comply with the relevant provisions of the employee stock ownership plan.
2、 Deliberations of the shareholders’ meeting
1. The proposal on establishing the Management Committee of the company’s employee stock ownership plan in 2022 was deliberated and adopted
In order to ensure the smooth progress of the employee stock ownership plan and protect the legitimate rights and interests of the holders, it is agreed to establish an employee stock ownership plan management committee to carry out daily management of the employee stock ownership plan and exercise other shareholders’ rights other than voting rights on behalf of the holders in accordance with the provisions of the company’s employee stock ownership plan in 2022 (Draft). The management committee consists of three members and one chairman of the management committee. The term of office of the members of the management committee is the duration of this ESOP.
Voting results: 247.97 million consents, accounting for 100% of the valid voting shares held by the holders attending the meeting, 0 objections and 0 abstentions.
2. The proposal on electing members of the company’s 2022 ESOP Management Committee was reviewed and approved, and Lian rufang, Jia Fenghua and Liu Xianfang were elected as members of the company’s 2022 ESOP Management Committee, and Lian rufang was elected as the chairman of the company’s 2022 ESOP Management Committee.
Voting results: 247.97 million consents, accounting for 100% of the valid voting shares held by the holders attending the meeting, 0 objections and 0 abstentions.
3. Deliberated and passed the proposal on Authorizing the management committee
In order to successfully carry out the work related to the company’s 2022 ESOP, the holders’ meeting authorized the company’s 2022 ESOP Management Committee to handle the following matters:
(1) Be responsible for convening the shareholders’ meeting;
(2) Be responsible for or supervise the daily management of the ESOP on behalf of all holders as authorized by the shareholders’ meeting;
(3) Exercise shareholders’ rights other than voting rights on behalf of the holders in accordance with the authorization of the holders’ meeting;
(4) Sign relevant agreements and contract documents on behalf of the employee stock ownership plan as authorized by the shareholders’ meeting; (5) Manage the distribution of benefits of the employee stock ownership plan according to the authorization of the shareholders’ meeting;
(6) Decide the disqualification of the holder and the disposal of the shares held by the disqualified holder in accordance with the provisions of the employee stock ownership plan, including the increase of the holder and the change of the holder’s share;
(7) Make decisions on the recovery and undertaking of ESOP shares and the cashing arrangement of corresponding income;
(8) Handle the share registration of employee stock ownership plan;
(9) Make decisions on other matters during the duration of the employee stock ownership plan except those that should be decided by the shareholders’ meeting;
(10) Other duties authorized by the shareholders’ meeting;
(11) Other duties to be performed by the management committee as stipulated in the draft employee stock ownership plan and relevant laws and regulations.
The validity period of the above authorization shall be from the date of deliberation and approval of the holder meeting to the expiration of the duration of the employee stock ownership plan.
