Announcement on resignation of directors

The board of directors of Jolywood (Suzhou) Sunwatt Co.Ltd(300393) (hereinafter referred to as “the company”) received the written resignation report of Mr. Deng Dingbing, the director of the company, on March 12, 2022. Since Mr. Deng Dingbing is a director nominated by Jiaxing Juli No. 5 equity investment partnership (limited partnership) (hereinafter referred to as “Jiaxing Juli”), the former shareholder of the company, Jiaxing Juli no longer holds the shares of the company, Therefore, Mr. Deng Dingbing applied to resign as a director of the company and will no longer hold any position in the company after his resignation. Mr. Deng Dingbing’s resignation will not cause the number of members of the board of directors of the company to be lower than the quorum. According to the relevant provisions of the company law, the articles of association and other laws and regulations, Mr. Deng Dingbing’s resignation report will take effect from the date of delivery to the board of directors.
Mr. Deng Dingbing’s original term of office expires on December 2, 2023.
