Hangzhou Chang Chuan Technology Co.Ltd(300604) (hereinafter referred to as ” Hangzhou Chang Chuan Technology Co.Ltd(300604) ,” listed company “or” company “) intends to acquire Hangzhou paradise Silicon Valley Hangshi equity investment partnership (limited partnership), leeheng Lee Jinggangshan Lecheng equity investment partnership (limited partnership) holds 976687% of the equity of Hangzhou Changyi Technology Co., Ltd. (hereinafter referred to as “Changyi technology”) and raises supporting funds (hereinafter referred to as “this transaction”).
In accordance with the measures for the administration of major asset restructuring of listed companies, the standards for the content and format of information disclosure by companies offering securities to the public No. 26 – major asset restructuring of listed companies (2022), the provisions on Several Issues concerning the regulation of major asset restructuring of listed companies, the measures for the administration of financial consulting business of mergers and acquisitions of listed companies and other relevant regulations, Huatai United Securities Co., Ltd. issued an independent financial consultant’s verification opinion and made the following commitments:
1. Has fulfilled its due diligence obligations in accordance with the provisions, and has sufficient reasons to believe that there is no material difference between the professional opinions expressed and the documents disclosed by the listed company and the counterparty;
2. The documents disclosed by the listed company and the counterparty have been fully verified, and it is believed that the content and format of the disclosure documents meet the requirements;
3. Based on the information obtained and the due diligence performed, there are sufficient reasons to believe that the trading scheme entrusted by the listed company to the independent financial adviser to issue verification opinions complies with laws, regulations and relevant provisions of the China Securities Regulatory Commission and the stock exchange, and the information disclosed is true, accurate and complete, without false records, misleading statements or major omissions;
4. Professional opinions on this transaction have been submitted to the independent financial advisor’s core institution for review, and the core institution agrees to issue such professional opinions;
5. The independent financial adviser has taken strict confidentiality measures, strictly implemented the risk control and internal isolation system, and there are no problems of insider trading, market manipulation and securities fraud.
