Special verification opinions
Huatai United Securities Co., Ltd. (hereinafter referred to as “independent financial consultant”) is entrusted to act as an independent financial consultant for Hangzhou Chang Chuan Technology Co.Ltd(300604) (hereinafter referred to as “listed company”) to issue shares, purchase assets, raise supporting funds and related party transactions (hereinafter referred to as “this transaction”). In accordance with the opinions on strengthening the risk prevention and control of securities companies engaging a third party in investment banking business (CSRC announcement [2018] No. 22) (hereinafter referred to as the “opinions on honest practice”), the independent financial adviser checked the employment of a third party in this transaction and issued this verification opinion.
The third party in this opinion refers to a third-party institution or individual other than the securities service institutions required to be employed by law firms, accounting firms, asset appraisal institutions and other investment banking projects according to law.
1、 Employment of third parties by listed companies
(I) employ Huatai united as the independent financial advisor of this transaction;
(II) employ Guohao law firm (Hangzhou) as the legal adviser of this transaction;
(III) employ Tianjian Certified Public Accountants (special general partnership) as the audit institution of this transaction; (IV) employ Zoomlion Asset Appraisal Co., Ltd. as the appraisal institution of this transaction;
(V) hire Hecheng Bitzer consulting (Beijing) Co., Ltd. to provide consulting services on the feasibility study of raised investment projects for the issuance of shares to raise supporting funds;
(VI) invite Yeoh mazlina & partners to provide overseas legal services for this transaction through TC legalservices limited.
After verification, the relevant employment acts are legal and compliant, and comply with the provisions of the opinions on clean practice.
In addition to the above hiring behavior, the listed company does not directly or indirectly hire other third parties for compensation in this transaction.
2、 Employment of third parties by independent financial advisers
After verification, in this transaction, the independent financial adviser did not directly or indirectly hire other third-party institutions or individuals for compensation, and there was no undisclosed act of hiring third-party institutions or individuals, which was in line with the provisions of the opinions on clean practice.
