Announcement of resolutions of the first meeting of the sixth board of supervisors

1、 Meetings of the board of supervisors
The first meeting of the sixth board of supervisors of Gem Co.Ltd(002340) (hereinafter referred to as “the company”) was held on March 11, 2022 in the conference room of Gem Co.Ltd(002340) (Jiangsu) cobalt Industry Co., Ltd. by means of on-site and communication voting. The notice of the meeting was sent to all supervisors of the company by fax or e-mail on March 9, 2022. Five supervisors should attend the meeting and five actually attended the meeting (among them, Mr. Wu Guangyuan, the supervisor, attended the meeting by means of communication voting). If the number of supervisors attending the meeting exceeds half of the total number of supervisors, the voting is valid. Elected by all supervisors, the meeting was presided over by Mr. Lu Xijin, the supervisor. The time, place and method of the meeting were in line with the relevant provisions of the company law of the people’s Republic of China and the articles of association.
2、 Deliberation at the meeting of the board of supervisors
1. The meeting deliberated and adopted the proposal on the election of the chairman of the sixth board of supervisors with 5 affirmative votes, 0 negative votes and 0 abstention.
In accordance with the relevant provisions of the company law of the people’s Republic of China and the articles of association, Mr. Lu Xijin is elected as the chairman of the sixth board of supervisors of the company. His term of office starts from the date of deliberation and approval by the board of supervisors to the expiration date of the sixth board of supervisors. His resume is attached.

Lu Xijin, male, Han nationality, born in September 1971, member of the Communist Party of China, graduated from central China Normal University in Applied Chemistry, MBA from Wuhan University, master’s degree, and obtained the national senior professional manager certificate. He used to be the deputy general manager of Hubei Jinggong Cement Co., Ltd. He joined Gem Co.Ltd(002340) in 2009, successively served as deputy general manager of Jingmen Gem Co.Ltd(002340) New Material Co., Ltd., general manager of Jiangxi Gem Co.Ltd(002340) Resource Recycling Co., Ltd., general manager of Gem Co.Ltd(002340) (Wuhan) urban Mining Industry Group Co., Ltd. and Deputy general manager of the company, and now serves as chairman of the board of supervisors and employee supervisor of the company. Mr. Lu Xijin holds 244000 shares of the company, and has no relationship with the company’s directors, supervisors, senior managers, shareholders holding more than 5% of the company’s shares and actual controllers. After investigation, Mr. Lu Xijin has not been punished by the CSRC and other relevant departments and the stock exchange. He is not allowed to serve as a supervisor as stipulated in the company law, the articles of association and the guidelines for self discipline supervision of listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board. He is not a dishonest person.
