1、 Types of restricted shares traded in this listing
Approved by the reply on approving Hanshang Group Co.Ltd(600774) non-public offering of shares (zjxk [2021] No. 929) of China Securities Regulatory Commission, Hanshang Group Co.Ltd(600774) non-public offering of 68084400 RMB common shares (A shares) to specific investors (hereinafter referred to as “this non-public offering” or “this offering”). The new shares issued this time have been registered in Shanghai Branch of China Securities Depository and Clearing Co., Ltd. on September 16, 2021.
The new shares issued this time are tradable shares with limited sales conditions, and the sales restriction period of the shares subscribed by the issuing object is 6 months. According to the above arrangement of the restricted sale period, the newly issued shares will be listed and traded on the Shanghai Stock Exchange from the next trading day after the expiration of the restricted sale period. In case of legal holidays or rest days, it will be postponed to the first trading day thereafter, that is, the number of shares lifted this time is 68084400, which will be listed and traded from March 16, 2022.
After the restricted shares were listed and circulated this time, the company’s non-public issuance of restricted shares has been lifted.
2、 Changes in the number of share capital of the company since the formation of the restricted shares
The company completed the registration procedures for non-public offering of shares on September 16, 2021, and the total number of shares of the company was changed from 226948002 shares to 295032402 shares.
In addition to the above matters, since the formation of the company’s non-public offering of restricted shares, the company has not had any other events leading to the change of the number of share capital.
3、 Relevant commitments on the listing and circulation of restricted shares
The shareholders applying for lifting the restrictions on the sale of shares are all the issuing objects of this non-public offering. These shareholders promise that the shares subscribed for in this non-public offering shall not be transferred within 6 months from the date of listing.
As of the date of issuance of this verification opinion, the shareholders applying for lifting the restrictions on the sale of shares have strictly fulfilled the above commitments, and there is no situation that the failure to fulfill the relevant commitments affects the listing and circulation of the restricted shares.
