Announcement on signing the supplementary agreement on land expropriation compensation and receiving land expropriation compensation

Wuhan dabenzying Business Management Co., Ltd. (hereinafter referred to as “Wuhan dabenzying”), a wholly-owned subsidiary of Langold Real Estate Co.Ltd(002305) (hereinafter referred to as “the company”), recently signed a supplementary agreement on compensation agreement for house expropriation and recovery of state-owned land use right with Wuhan Qiaokou District Urban Reconstruction and renewal Bureau (formerly Wuhan Qiaokou District House expropriation Management Office), And recently received land acquisition compensation of 485 million yuan. The relevant matters are hereby announced as follows:

1、 Basic information

In December 2018, Wuhan Qiaokou District Housing expropriation Management Office expropriated the houses and state-owned land of Wuhan base camp located at No. 36, Gutian Fourth Road, Qiaokou District, Wuhan (hereinafter referred to as “light machinery public passenger film phase I”), Wuhan base camp and Qiaokou District Housing expropriation Management Office of Wuhan signed the compensation agreement for housing expropriation and recovery of state-owned land use right (hereinafter referred to as the “original compensation agreement”).

Phase I of light machinery public passenger film is located at No. 36, Gutian 4, Qiaokou District, Wuhan. The area of state-owned land use right is 74092.15 m2, the land type (purpose) is industrial land, and the area of house property right is 45795.71 m2. The total compensation for the collection of Wuhan base camp by Wuhan Qiaokou District Housing collection management office is 720 million yuan. The above agreed total compensation for expropriation is all the compensation contents related to the expropriation of the expropriated house and the recovered land by the housing expropriation Management Office of Qiaokou District, Wuhan, and has included all the expenses of Wuhan base camp for the relocation and vacations of all units, individuals, employees and tenants within the scope of the expropriated house and the recovered land.

2、 Signing of this supplementary agreement and receipt of compensation

Recently, Wuhan base camp and Qiaokou District Urban Reconstruction and renewal Bureau of Wuhan signed a supplementary agreement on the compensation agreement for house expropriation and recovery of state-owned land use right, and received a land compensation of RMB 485 million for phase I of light machinery public passenger film on December 30, 2021. The main contents of the supplementary agreement are as follows:

Party A: urban reconstruction and renewal Bureau of Qiaokou District, Wuhan (collection department)

Party B: Wuhan dabenying Business Management Co., Ltd. (expropriated)

Party C: implementing entity (non related party of the company)

Whereas Party C has signed the entrustment agreement for the collection of urban renewal project with Party A, and the phase I of light machinery public passenger film is included in the scope of urban renewal project. Meanwhile, the compensation fee of the original compensation agreement for phase I of light machinery public passenger film has not been paid off. After negotiation, the three parties have reached the following supplementary agreement on the original compensation agreement:

1. The three parties to this agreement confirm that the total compensation for the expropriation of phase I land parcel of light machinery public passenger film is 52 million yuan; 2. The parties to this agreement agree to renegotiate the payment of compensation and related matters as follows:

After the planning department has approved and issued the planning conditions, if the planned purpose of the phase I plot of light machinery public passenger film under this agreement is residential land and the plot ratio reaches 3.5, Party A, Party B and Party C agree to adjust the total collection compensation cost of the plot under this agreement from 520 million yuan to 722.41 million yuan, and Party C shall pay the remaining amount to Party A within 30 days after the approval and issuance of the planning conditions; If the planning conditions approved and issued by the planning department do not meet the above consultation opinions, Party A, Party B and Party C shall separately negotiate whether to increase the compensation fee. Party A and Party B promise to negotiate the compensation fee separately, which shall not affect the delivery and listing of the land under this agreement.

In case of any inconsistency between the provisions of this supplementary agreement and the original compensation agreement, the provisions of this supplementary agreement shall prevail. For matters not agreed in this supplementary agreement, the original compensation agreement shall prevail.

3、 Impact of this event on the company

Since the original compensation agreement was signed in 2018, the company has been actively strengthening communication and coordination with the competent collection department to promote the recovery of the collection compensation. The recovery of the compensation fund is conducive to revitalizing the company’s assets, reducing financing costs and accelerating the use efficiency of funds.

As of the date of this announcement, the company has received a total collection compensation of RMB 505 million. In the later stage, the company and all parties will actively negotiate and do their best to promote the achievement of the planned use and plot ratio of the phase I plot of light machinery public passenger film, and actively realize the recovery of the total collection compensation cost of RMB 722.41 million.

The company will actively pay attention to the follow-up progress of this matter and make a timely announcement according to the follow-up progress. Please invest rationally and pay attention to investment risks.
