In accordance with the company law of the people’s Republic of China, the Listing Rules of Shanghai Stock Exchange and other laws, regulations and normative documents, as well as the articles of association of China United Network Communications Limited(600050) (hereinafter referred to as the “company”) and the working rules for independent directors, we are the independent directors of the company, After carefully reviewing the proposal on 2021 annual report of the 11th meeting of the seventh board of directors of the company, the independent opinions are as follows:
1. In combination with the special statement submitted by the accounting firm on the connected transactions of China Unicom Group Finance Co., Ltd. (hereinafter referred to as “finance company”), the connected transactions conducted by the finance company in 2021 are based on the needs of the company’s normal business activities and normal development, follow the principles of fairness, impartiality, voluntariness and integrity, and the transaction pricing is fair and reasonable, There is no situation that affects the independence and security of the company’s funds, is occupied by related parties, or damages the interests of the company and minority shareholders.
2. The company’s risk continuous assessment report on China Unicom Group Finance Co., Ltd. (hereinafter referred to as the risk continuous assessment report) fully reflects the business qualification, internal control, operation management and risk management status of the finance company, its business scope, business content and process The internal risk control system and other measures are strictly supervised by Bank Of China Limited(601988) Insurance Regulatory Commission (hereinafter referred to as “China Banking and Insurance Regulatory Commission”), with legal and effective business license and financial license. No violation of the provisions of the measures for the administration of enterprise group financial companies issued by China Banking and Insurance Regulatory Commission has been found in the financial company, No major defects were found in its risk management. When deliberating the proposal on 2021 annual report (attached with risk continuous assessment report), the board of directors complied with relevant laws and regulations and the provisions of the guidelines for self discipline supervision of listed companies on Shanghai Stock Exchange No. 5 – transactions and related party transactions and the articles of association. The deliberation procedure of this matter was legal and effective. The continuous risk assessment report is objective and impartial and does not harm the interests of the company and other shareholders, especially minority shareholders and non affiliated shareholders.
