1、 Overview of merger and acquisition
Guang Dong Fenghua Advanced Technology (Holding) Co.Ltd(000636) (hereinafter referred to as “the company”) held the eighth meeting of the ninth board of directors in 2021 and the third extraordinary general meeting of shareholders in 2021 on August 25 and September 13, 2021 respectively, and deliberated and adopted the proposal on absorbing and merging wholly-owned subsidiaries. In order to optimize resource allocation, improve operation efficiency and reduce management levels, the company absorbed and merged Guangdong Zhaoqing science and Technology Co., Ltd. (hereinafter referred to as “science and technology company”), a wholly-owned subsidiary. After the merger is completed, Kexun company will cancel it, and the company will inherit all the assets, liabilities, businesses and personnel of Kexun company. The company recently received the notice of approval and cancellation of registration (Yue Zhao he Zhu Tong Nei Zi [2021] No. 4412001200076623) issued by Duanzhou District market supervision and Administration Bureau of Zhaoqing City and the certificate of merger registration (Yue Zhao he Bian Tong Nei Zi [2021] No. 4412001210082438) issued by Zhaoqing market supervision and Administration Bureau, The deregistration of Kexun company, a wholly-owned subsidiary absorbed and merged by the company, has been approved, and the merger has been completed.
