Prior approval and independent opinions on daily connected transactions
In accordance with the company law of the people’s Republic of China, the Listing Rules of Shanghai Stock Exchange and other laws, regulations and normative documents, as well as the articles of association of China United Network Communications Limited(600050) (hereinafter referred to as the “company”) and the working rules for independent directors of the company, we are independent directors of the company, After carefully reviewing the proposal on daily connected transactions at the 11th meeting of the seventh board of directors of the company, the following prior approval and independent opinions are issued:
1、 Prior approval
We have reviewed the relevant materials of the proposal on daily connected transactions in advance and agreed to submit the above matters to the 11th meeting of the seventh board of directors of the company for deliberation.
2、 Independent opinion
Related party transactions are based on the company’s daily and general business transactions and signed in accordance with general commercial terms. The decision-making procedures are legal, the relevant terms are fair and reasonable, the transaction price conforms to market standards, and the pricing is fair and reasonable. There is no situation that damages the interests of shareholders (especially minority shareholders).
Therefore, we unanimously agree to this proposal and agree to submit relevant matters to the general meeting of shareholders of the company for deliberation after being approved by the board of directors.
