Zhejiang Yongtai Technology Co .Ltd(002326) (hereinafter referred to as “the company”) held the second extraordinary general meeting of shareholders in 2021 on July 26, 2021, deliberated and adopted the proposal on adjusting the payment period of performance compensation for the original shareholders of Jiangsu Subin biological agrochemical Co., Ltd. The company signed the performance commitment compensation payment agreement with Inner Mongolia Yongtai Chemical Co., Ltd. (hereinafter referred to as “Inner Mongolia Yongtai”) and Ningbo Yongcheng Suhe investment partnership (limited partnership) (hereinafter referred to as “Yongcheng Suhe”) to adjust the payment period of Yongcheng Suhe performance compensation. 1、 Progress of performance compensation payment
Inner Mongolia Yongtai received the first performance compensation of 10.3775 million yuan and corresponding interest paid by Yongcheng Suhe on August 23, 2021.
According to the performance commitment compensation payment agreement, Yongcheng Suhe shall pay the second performance compensation of RMB 15 million and the corresponding interest to Yongtai, Inner Mongolia before December 31, 2021. The interest is based on the unpaid performance compensation, According to the loan market quotation interest rate (LPR) of the same period, from July 1, 2021 to the actual payment date of each period of performance compensation. On December 31, 2021, Inner Mongolia Yongtai received the performance compensation of 15 million yuan and the corresponding interest paid by Yongcheng Suhe. Yongcheng Suhe has fulfilled the compensation obligation of phase II performance compensation in accordance with the agreement.
2、 Other instructions
As of the date of this announcement, Inner Mongolia Yongtai has received the cumulative performance compensation of 25.3775 million yuan and the corresponding interest from Yongcheng Suhe. The performance commitment compensation obligation of Yongcheng Suhe has not been fulfilled. The company will continue to urge Yongcheng Suhe to pay the remaining performance commitment compensation on schedule according to the agreement, and fulfill the information disclosure obligation in time according to the progress of relevant matters.
