As an independent director of the company in accordance with the guidelines for the standardized operation of GEM listed companies, the guiding opinions on the establishment of independent director system in listed companies, the articles of association of Sunresin New Materials Co.Ltd Xi’An(300487) (hereinafter referred to as the “company”), the detailed rules for the work of independent directors and other relevant laws, regulations and rules of Shenzhen Stock Exchange, Prior review was conducted on relevant matters to be submitted to the ninth meeting of the Fourth Board of directors of the company, and the following prior approval opinions were issued:
1、 Prior approval opinions on the change of accounting firm
After verification, we believe that Zhitong Certified Public Accountants (special general partnership) has the qualification to engage in Securities and futures business, its audit team is dedicated and cautious, has the experience and ability to provide audit services for listed companies, can provide true and fair audit services for the company, and has sufficient independence, professional competence and investor protection ability, Meet the audit requirements of the company’s annual financial report in 2021.
As an independent director of the company, based on the principle of being responsible to the company and investors, he inquired and confirmed the matters involved in the proposal to the relevant departments and personnel of the company. The proposed change of the accounting firm does not harm the interests of the company and all shareholders, and agreed to submit the above proposal to the ninth meeting of the Fourth Board of directors of the company for deliberation.
