Mr. Fan Yongjian, deputy general manager and Secretary of the board of directors of Sunresin New Materials Co.Ltd Xi’An(300487) (hereinafter referred to as “the company”), applied for resignation from the post of deputy general manager and Secretary of the board of directors of the company for personal reasons. After his resignation, Mr. Fan Yongjian no longer held any position in the company.
The original term of office of the Secretary of the board of directors held by Mr. Fan Yongjian was until the expiration of the Fourth Board of directors. As of the disclosure date of this announcement, it does not hold shares of the company.
During his tenure as deputy general manager and Secretary of the board of directors, Mr. Fan Yongjian worked diligently, studied business, actively interacted with investors and established an enterprising and good corporate image. The proposal on the appointment of the company’s board of directors and the relevant provisions of the company’s articles of association were deliberated and adopted on December 30, 2021, which was the fourth meeting of the board of directors. The board of directors of the company agreed to appoint Mr. Yu Yang (attached with resume) as the deputy general manager and Secretary of the board of directors of the company. The term of office starts from the date of deliberation and approval at the ninth meeting of the Fourth Board of directors to the date of expiration of the term of office of the Fourth Board of directors. The independent directors expressed their agreed independent opinions on this matter.
Mr. Yu Yang has obtained the qualification certificate of secretary of the board of directors, and his qualification has been reviewed by Shenzhen stock exchange without objection.
