1、 Signing of lease contract
Recently, Sunny Loan Top Co.Ltd(600830) (hereinafter referred to as “the company”) signed a house lease contract with Ningbo Shuren painting and Calligraphy Academy, Zhejiang Damei Culture Communication Co., Ltd., Ningbo children’s painting Shuren art training Co., Ltd. and Ningbo Agricultural University Food Co., Ltd. to lease some commercial houses located at No. 84 and 86 Cuibai Road, Haishu District, Ningbo for 8 years, The total rent is 4.872 million yuan. The above four tenants are the same legal representative Wang Mingchun, and Wang Mingchun signed the guarantee contract with the company. Wang Mingchun provided unconditional and irrevocable joint and several liability guarantee for all obligations such as rent and liquidated damages that the lessee should pay to the company under the above house lease contract.
The contract is within the scope of authorization of the board of directors to the general manager and does not need to be submitted to the board of directors.

3、 Main contents of lease contract

1. Leased house: the house is located on the first floor (1-9-1, 1-9-2) and the second floor (2-6-1, 2-6-2), No. 84 and 86 Cuibai Road, Haishu District, Ningbo. The total leased area of the four house lease contracts is about 1016 square meters. The structure of the house is steel-concrete, and the lessee leases it for his own office.
2. Lease term: the lease term is 8 years, from February 18, 2022 to February 17, 2030. The company agrees to grant the lessee a rent free decoration period of 6 months from February 18, 2022 to August 17, 2022. The lessee is not required to bear the house rent during the rent free decoration period, but shall bear all other expenses, including but not limited to water, electricity, gas, property and other expenses.
3. Rent: the rent is calculated on an annual basis. The total rent of one “house lease contract” during the lease term is 1.218 million yuan, and the total rent of four contracts during the lease term is 4.872 million yuan.
The lease adopts the principle of “pay first, rent later”, and each quarter is a payment cycle. The lessee shall pay the first rent of 150000 yuan in total within 3 days after the signing of the contract (rent for rent free decoration period has been exempted).
The lessee shall pay a total deposit of 50000 yuan before signing this contract.
During the lease term, the lessee shall bear the water and electricity charges, public security charges, industrial and commercial management fees, three guarantees in front of the door, property management fees and other expenses related to the leased house in accordance with the regulations.
4. Termination of contract:
(1) This contract can be terminated by consensus of both parties.
(2) Under any of the following circumstances, the company has the right to terminate the contract and take back the house, and the lessee shall be liable for breach of contract: subletting or subletting the house without authorization; Arrears of rent and other expenses for 30 days; Causing damage to the main structure of the house; Illegal operation, unlicensed operation or being punished by the administrative department according to law; Violating the relevant provisions on fire control, public security, environmental protection and other provisions of the contract.
5. Others: the lessee is a joint debtor and bears the joint payment responsibility to the company. If any lessee of the house lease contract breaches the contract, it shall be deemed that all lessees breach the contract. If any “house lease contract” is terminated, all contracts shall be terminated at the same time.
6. Effectiveness of the contract:
This contract shall come into force after being sealed by both parties.
4、 Impact on Listed Companies
The company has received the initial rent of 150000 yuan. The lease has no significant impact on the operating performance of the company in this year and future fiscal years.
