Announcement of resolutions of the 24th (Interim) meeting of the seventh board of supervisors

1、 Meetings of the board of supervisors
Meinian Onehealth Healthcare Holdings Co.Ltd(002044) (hereinafter referred to as “the company”) with the consent of all supervisors, the 24th (Interim) meeting of the seventh board of supervisors was held by means of communication at 10:00 a.m. on March 10, 2022. There were 3 supervisors who should attend the meeting and 3 supervisors who actually attended the meeting. The meeting was presided over by Mr. Bian Guofu, chairman of the board of supervisors. The meeting was held in accordance with the company law, the articles of association and relevant laws and regulations.
2、 Deliberation at the meeting of the board of supervisors
1. Deliberated and passed the proposal on the special report on the use of the previously raised funds
Voting results: 2 in favor, 0 against and 0 abstention.
Mr. Tan Xu, the supervisor of the company, has avoided voting, and other non affiliated supervisors participate in the voting of this proposal.
In accordance with the company law of the people’s Republic of China, the securities law of the people’s Republic of China, the measures for the administration of securities issuance of listed companies, the provisions on the report on the use of the previously raised funds and other relevant laws and regulations of the CSRC, the board of directors of the company makes a special report on the use of the previously raised funds. The board of supervisors believes that: the company strictly abides by the relevant provisions of the China Securities Regulatory Commission, Shenzhen Stock Exchange and the company on the storage and use of raised funds, the disclosed information on the use of raised funds is true, accurate and complete, and there is no violation of the storage and use of raised funds.

After review, the board of supervisors believes that the re demonstration and extension of some raised investment projects is a prudent decision made by the company according to the actual implementation of raised investment projects, which will not have a significant impact on the normal operation of the company, nor will it change the investment direction of raised funds and damage the interests of shareholders of the company. The company has fulfilled the necessary decision-making procedures for the postponement of some raised investment projects this time, which is in line with the relevant provisions of China Securities Regulatory Commission and Shenzhen Stock Exchange on the management of raised funds of listed companies, and unanimously agreed to re demonstrate and postpone some raised investment projects this time.
