On repurchase and cancellation of some restricted shares
Announcement on reducing the company’s registered capital and notifying creditors
The board of directors and all directors of the company guarantee that there are no false records, misleading statements or major omissions in the contents of this announcement, and bear individual and joint liabilities for the authenticity, accuracy and completeness of its contents.
1、 Reasons for notifying creditors
The fourth extraordinary general meeting of shareholders in 2021 held by China United Network Communications Limited(600050) (hereinafter referred to as “the company”) on December 30, 2021 deliberated and adopted the proposal on repurchase and cancellation of restricted shares of some incentive objects of the first phase of restricted stock plan. Accordingly, the company decided to repurchase and cancel a total of 1.5918 million restricted shares held by 49 incentive objects who were not within the scope of incentive due to resignation, dismissal and other reasons at the grant price of 3.79 yuan / share; It is agreed that the company shall repurchase and cancel the total of 1669800 restricted shares held by 51 incentive objects who are not within the scope of incentive due to retirement, death and other reasons according to the grant price plus the interest calculated by the benchmark deposit interest rate for the same period published by the people’s Bank of China (a total of 4.15 yuan / share). After the cancellation of the restricted stock repurchase, the registered capital of the company is expected to decrease by 3261600 yuan from 30991393212 yuan to 30988131612 yuan.
2、 Information to be known to creditors
This repurchase cancellation of the company will involve the reduction of registered capital. According to the company law of the people’s Republic of China and other relevant laws and regulations, the company hereby notifies the creditors. Creditors of the company shall have the right to require the company to pay off debts or provide corresponding guarantees on the strength of valid creditor’s rights documents and relevant vouchers within 30 days from the date of receiving the company’s notice or 45 days from the date of disclosure of this announcement if they do not receive the notice. If creditors fail to declare their creditor’s rights to the company within the time limit, the validity of their creditor’s rights will not be affected, and the relevant debts (obligations) will continue to be performed by the company according to the provisions of the original creditor’s rights documents.
