Modern Avenue Group Co.Ltd(002656) (hereinafter referred to as “the company”), the fourth meeting of the Fifth Board of directors and the second meeting of the Fifth Board of supervisors held on April 15, 2021 and the 2020 general meeting of shareholders held on May 7, 2021, deliberated and adopted the proposal on the company’s renewal of the appointment of the audit institution in 2021, We agree to renew the appointment of China audit Zhonghuan Certified Public Accountants (special general partnership) (hereinafter referred to as “China audit Zhonghuan”) as the audit institution of the company in 2021. For details, please refer to the announcement on the company’s reappointment of the audit institution in 2021 (Announcement No.: 2021-044) disclosed by the company on April 16, 2021.
Recently, the company received the contact letter on replacing the signing certified public accountant and the project quality control reviewer issued by Zhongshen Zhonghuan, and now the specific situation is announced as follows:
1、 Basic information of certified public accountants and project quality control reviewers signing the change
As the audit institution of the company in 2021, Zhongshen Zhonghuan originally appointed Mr. Han Zhenping, Ms. Wu Xiafei as the signing certified public accountant and Mr. Wang Bing as the project quality control reviewer to provide audit services for the company. Due to the work arrangement of Zhonghuan, we hereby appoint Mr. Wang Bing and Ms. Wu Xiafei as the signing certified public accountants and Ms. Li Ling as the reviewer of project quality control to continue to complete relevant audit services.
2、 Basic information of the certified public accountant signing this change
Mr. Wang Bing, certified public accountant, has been engaged in auditing for more than 15 years. He has successively participated in the audit of annual reports and major asset restructuring of listed companies of dozens of customers such as C&S Paper Co.Ltd(002511) , Zhongshan Public Utilities Group Co.Ltd(000685) , Guangdong Hongtu Technology (Holdings) Co.Ltd(002101) , Gree Electric Appliances Inc.Of Zhuhai(000651) .
Ms. Wu Xiafei, certified public accountant, has been engaged in auditing for more than 5 years. He has participated in the annual report, bond issuance and IPO review of listed companies of Gree Electric Appliances Inc.Of Zhuhai(000651) , Guangzhou Grandbuy Co.Ltd(002187) , Shenzhen Zhongjin Lingnan Nonfemet Co.Ltd(000060) , Guangdong Leary New Material Technology Co.Ltd(688683) and other customers

Ms. Li Ling, a certified public accountant, has presided over the financial statement audit, restructuring audit, special audit and review of many listed companies, companies to be listed and large and medium-sized state-owned enterprises. She has been engaged in securities work for many years. Now she is the deputy director of the central audit Zhonghuan risk control Committee and has corresponding professional competence.
Mr. Wang Bing, Ms. Wu Xiafei and Ms. Li Ling have not violated the independence requirements of the code of professional ethics for Chinese certified public accountants, and have not been subject to criminal punishment, administrative punishment, administrative supervision measures and self-discipline sanctions in the past three years.
