Shanghai Aiko Solar Energy Co.Ltd(600732) (hereinafter referred to as “the company”) has informed us in advance of the proposal on expected daily connected transactions and relevant materials to be discussed and deliberated at the 26th meeting of the eighth board of directors. As an independent director of the company, in accordance with the Listing Rules of Shanghai Stock Exchange, the guiding opinions on the establishment of independent director system in listed companies, the guidelines on the performance of duties of independent directors of listed companies and other relevant provisions, we have conducted prior review and Research on the above matters, and based on our independent judgment, we express the following opinions:
We believe that the daily connected transactions between the company’s subsidiaries and Guangdong Gaojing and its subsidiaries are expected to be reasonable and objective, and the pricing follows the principles of openness, fairness and impartiality. It will not rely on related parties for such related party transactions. This estimate is in line with the needs of the company’s operation and development, and there is no damage to the interests of the company and minority shareholders.
The independent directors agree to submit the above matters to the board of directors of the company for deliberation.
