Independent opinions on relevant matters
Tianjin Guangyu Development Co.Ltd(000537) (hereinafter referred to as “the company”) held the 21st Meeting of the 10th board of directors on February 28, 2022. In accordance with the rules for independent directors of listed companies, the guidelines for the governance of listed companies, the articles of association and other relevant provisions, as independent directors of the company, we reviewed the proposal on terminating the custody contract of relevant real estate projects deliberated by the board of directors, listened to the reports of relevant personnel, and now express independent opinions on the matter as follows:
After careful verification, we believe that the company has terminated the relevant custody contracts with the indirect controlling shareholder China lvfa Investment Group Co., Ltd., the controlling shareholder Luneng Group Co., Ltd., the related party Ducheng Weiye Group Co., Ltd. and relevant real estate project units, The matters on which the termination agreement is signed comply with the provisions of the company law, the Listing Rules of Shenzhen Stock Exchange and other laws and regulations and the articles of association. The decision-making procedures are legal and effective and will not damage the legitimate rights and interests of the company and the majority of investors. Mr. Cai Hongjun and Mr. Wang Xiaocheng, affiliated directors of the company, avoided voting according to law. Therefore, we agree with the resolution of the 21st Meeting of the 10th board of directors of the company to consider and adopt the proposal on terminating the custody contract of real estate projects.
