Announcement on Amending the articles of association and handling the industrial and commercial change registration

Yunnan Jianzhijia Health-Chain Co.Ltd(605266) (hereinafter referred to as “the company”) deliberated and adopted the proposal on the company’s plan to purchase plant and build logistics center at the 13th meeting of the 5th board of directors held on January 21, 2022. According to the authorization of the board of directors, the company participated in the bidding of the plant, obtained the plant with an area of 12515359 M2 with a reserve price of 520 million yuan, signed a property right transaction contract with Yunnan Baoxiang Logistics Group Co., Ltd. on February 22, 2022, and is currently promoting the relevant handover procedures of the plant. Some buildings of the plant were rented out before purchase and still exist today; In addition, in order to make full and effective use of the company’s resources and improve the use efficiency of the plant, some plants are planned to continue to be rented out before they are put into use.
Due to the business needs of the company and after consulting the market supervision department, the company plans to increase the business scope of general goods warehousing services, property management, non residential real estate leasing and so on; At the same time, according to the standardized requirements of the market supervision department for the expression of business scope, the management of the company is authorized to make standardized adjustment to the content expression of the original business scope according to the regulatory requirements in the process of handling the change of business scope.
On February 28, 2022, the company held the 14th meeting of the 5th board of directors, deliberated and adopted the proposal on changing the business scope of the company, amending the articles of association and handling industrial and commercial changes.
