Recently, the company has received a notice from its subsidiaries that the company has completed the change registration with the Administration for Industry and Commerce on matters related to the adjustment of the shareholding structure of its subsidiaries. Now the completion of the registration is announced as follows:
1、 Event background
The company held the 35th meeting of the 5th board of directors on December 20, 2021, deliberated and passed the proposal on adjusting the shareholding structure of subsidiaries, and agreed to transfer the equity of some business entities’ subsidiaries free of charge within the scope of wholly-owned subsidiaries, so as to adjust the shareholding structure of subsidiaries. The specific scheme is as follows:
Transfer 100% equity of Mudanjiang Futong Automotive Air Conditioning Co., Ltd. (hereinafter referred to as Mudanjiang Futong), a wholly-owned subsidiary of the company engaged in automotive air conditioning compressor business, to Nanjing Aotecar New Energy Technology Co.Ltd(002239) New Energy Technology Co., Ltd. (hereinafter referred to as Nanjing Aotecar New Energy Technology Co.Ltd(002239) ); Transfer 100% of the equity of Shanghai Shengyou Investment Co., Ltd. (the parent company of the company’s air conditioning international company engaged in automobile air conditioning system business, hereinafter referred to as Shanghai Shengyou) held by Nanjing Aotecar New Energy Technology Co.Ltd(002239) to the listed company free of charge.
The above adjustment has been registered with the Administration for Industry and commerce. Recently, Mudanjiang Futong received the notice of approval of change registration (filing) issued by Mudanjiang Municipal Bureau of market supervision and administration, and Shanghai Shengyou received the notice of approval of change registration (filing) issued by China (Shanghai) pilot Free Trade Zone Bureau of market supervision and administration. The change of shareholders of the two companies has been officially completed.
