Opinions of the 12th session of the independent board of directors on relevant matters
As an independent director of Gree Electric Appliances Inc.Of Zhuhai(000651) (hereinafter referred to as the “company”), in accordance with the company law of the people’s Republic of China (hereinafter referred to as the “company law”) and other relevant laws and regulations, as well as the relevant requirements of the rules for independent directors of listed companies, the rules for stock listing of Shenzhen Stock Exchange and the Gree Electric Appliances Inc.Of Zhuhai(000651) articles of Association (hereinafter referred to as the “articles of association”), For the appointment of president, vice president, Secretary of the board of directors and financial director, we carefully reviewed the meeting materials, inquired about the relevant situation, and expressed the following opinions based on independent judgment:
1. The company’s procedures for the appointment of president, vice president, Secretary of the board of directors and person in charge of Finance comply with the provisions of relevant laws and regulations;
2. After reviewing the personal resumes and other relevant materials of the relevant personnel appointed at this meeting, we believe that their qualifications meet the provisions of the company law and the articles of association on the qualifications of senior managers;
3. After knowing the educational background, work experience and physical condition of the relevant employed personnel, they can be competent for the responsibilities of the corresponding positions of the company, which is conducive to the development of the company;
4. We agree to appoint Ms. Dong Mingzhu as the president of the company; Appoint Mr. Deng Xiaobo, Mr. Zhuang Pei, Mr. Tan Jianming, Mr. Shu Lizhi and Mr. Fang Xiangjian as vice presidents of the company; Appoint Mr. Deng Xiaobo as the Secretary of the board of directors of the company; Appoint Mr. Liao Jianxiong as the financial director of the company.
