Gree Electric Appliances Inc.Of Zhuhai(000651) (hereinafter referred to as “the company” and “the company”) sent a notice on convening the first meeting of the 12th board of directors by e-mail on February 24, 2022, and the meeting was held by means of communication and on-site voting on February 28, 2022. The meeting was presided over by Ms. Dong Mingzhu jointly elected by more than half of the directors. There were 9 directors who should attend the meeting and 9 directors who actually attended the meeting. 2、 The proposal on the election of members of the special committee of the 12th board of directors of the company was deliberated and adopted with 9 affirmative votes, 0 negative votes and 0 abstention
The 12th board of directors of the company consists of three special committees: audit, nomination, remuneration and assessment. The personnel composition of each special committee is as follows:
Audit Committee: Liu Shuwei (Chairman), Wang Xiaohua, Zhang Wei;
Nomination Committee: Zhang Qiusheng (Chairman), Xing Ziwen, Deng Xiaobo;
Remuneration and assessment committee: Wang Xiaohua (Chairman), Liu Shuwei and Zhang Wei.
The term of office of the members of the above special committees of the board of directors is the same as that of the 12th board of directors of the company.
3、 The proposal on the appointment of the company’s operation and management personnel was deliberated and adopted with 9 affirmative votes, 0 negative votes and 0 abstention
The directors attending the meeting unanimously agreed to appoint Ms. Dong Mingzhu as the president of the company, and the term of office is the same as that of the 12th board of directors of the company. After the review of the nomination committee, Ms. Dong Mingzhu meets the qualification of the president of the company.
