In accordance with the articles of association and the actual operation of the company, and with reference to the salary levels of industries and regions, the remuneration scheme for directors, supervisors and senior managers in 2022 was formulated after deliberation by the remuneration and assessment committee of the board of directors, the seventh meeting of the Fourth Board of directors and the fifth meeting of the Fourth Board of supervisors, The details are as follows:

1、 Applicable to: directors, supervisors and senior managers who receive remuneration in the company

2、 Applicable period: January 1, 2022 to December 31, 2022.

3、 Salary standard:

(I) directors' remuneration

1. Non independent directors holding specific management positions shall receive corresponding remuneration according to their specific positions in the company. The remuneration of non independent directors who do not hold specific management positions shall be determined according to their responsibilities in accordance with the measures for the administration of the remuneration of Anhui Huaqi Environmental Protection&Technology Co.Ltd(300929) directors, supervisors and senior managers.

2. The allowance for independent directors employed by the company is 63200 yuan / year (before tax).

(II) remuneration of supervisors

Supervisors of the company shall be paid according to their actual work positions in the company, and supervisors who do not take up actual work shall not be paid in the company.

(III) remuneration of senior managers

Senior managers of the company shall receive remuneration according to the relevant remuneration regulations of the company according to their specific management positions in the company.

4、 Other instructions

(I) the basic annual salary of non independent directors, supervisors and senior managers of the company shall be paid on a monthly basis; The allowance for independent directors shall be paid annually; The expenses actually incurred by directors, supervisors and senior managers due to attending the company's meetings shall be reimbursed by the company;

(II) if the directors, supervisors and senior managers of the company leave their posts due to the change of office, re-election, resignation during their term of office and other reasons, they shall be calculated and paid according to their actual term of office;

(III) the actual payment amount of the performance salary of the above personnel will fluctuate due to the annual operation of the company;

(IV) the above salaries are pre tax amounts, and the individual income tax involved shall be uniformly withheld and paid by the company; (V) according to the requirements of relevant laws, regulations and the articles of association, the above remuneration scheme for directors and supervisors must be submitted to the general meeting of shareholders for deliberation and approval before taking effect.
