According to the company law of the people’s Republic of China (hereinafter referred to as the “company law”) and the securities law of the people’s Republic of China (hereinafter referred to as the “Securities Law”) As an independent director of Shanghai Pret Composites Co.Ltd(002324) (hereinafter referred to as “the company”), we are the independent director of Shanghai Pret Composites Co.Ltd(002324) (hereinafter referred to as “the company”) in accordance with the provisions of relevant laws and regulations such as the rules for independent directors of listed companies, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board, the rules for listing of shares of Shenzhen Stock Exchange and the articles of association, On the proposal on signing the framework agreement considered at the 20th meeting of the Fifth Board of directors of the company, based on independent judgment, the following independent opinions are expressed:
The signing of the framework agreement by the company is conducive to promoting the company’s acquisition of Jiangsu haisida power supply Co., Ltd., building an industry-leading new energy enterprise on this platform, grasping the strategic opportunity of energy storage, realizing the strategic goal of comprehensive strategic transformation and upgrading of the company’s main business to new materials and new energy, and promoting the high-quality development of listed companies. For the financial assistance matters formed, the relevant payment preconditions, guarantee measures and default measures are agreed in the agreement, and the transaction risk is controllable. This transaction does not harm the interests of the company and all shareholders of the company, especially the minority shareholders. The company has performed the decision-making procedures in accordance with relevant regulations and complied with the provisions of relevant laws and regulations, departmental rules and normative documents. Therefore, we agree to the signing of the framework agreement by the company.
