Guangdong Kinlong Hardware Products Co.Ltd(002791) (hereinafter referred to as “the company”) the 18th meeting of the third board of supervisors was held in the conference room of the company’s headquarters at No. 3 Jianlang Road, Tangxia Town, Dongguan City on March 9, 2022. The notice of the meeting was sent to all supervisors by e-mail on March 3, 2022. Three supervisors should attend the meeting and three supervisors actually attended the meeting. They attended the meeting and voted on the spot, The meeting was presided over by Mr. Shang Deling, chairman of the board of supervisors of the company, and Mr. Yin Jianzhong, Secretary of the board of directors, attended the meeting as a nonvoting delegate. 1、 Proposal on the election of non employee representative supervisors by the board of supervisors
Since the term of office of the members of the third board of supervisors of the company is about to expire, the general election shall be conducted in accordance with the company law, the articles of association and other relevant provisions. Nominated by the controlling shareholder and actual controller of the company, Mr. Bai Baokun, and the shareholder of the company, Mr. Yan Guilin, the board of supervisors approved to nominate Mr. Malone and Mr. Zhang Ping as candidates for non employee representative supervisors of the Fourth Board of supervisors of the company after the qualification examination of the nominees.
This proposal needs to be submitted to the general meeting of shareholders of the company for deliberation, and the cumulative voting system shall be adopted for voting.
