In accordance with the provisions of relevant laws and regulations, as an independent director of Hubei Shuanghuan Science And Technology Stock Co.Ltd(000707) (hereinafter referred to as “the company”), we express the following independent opinions on relevant matters occurred during the reporting period of the company in the spirit of being seriously responsible to the company and all shareholders and seeking truth from facts:
1、 Special instructions and independent opinions on the occupation of the company’s funds by controlling shareholders and other related parties
As an independent director of the company, in the spirit of being responsible to the company and all shareholders and seeking truth from facts, we have investigated and verified the occupation of the company’s funds by the company’s controlling shareholders and other related parties and the related party transactions of the company during the reporting period, and fully communicated with the audit institution. Now we express the relevant explanations and independent opinions as follows:
During the reporting period, according to our investigation and communication with the audit institution, the controlling shareholders and their related parties did not occupy the company’s non operating funds.
2、 Special description and independent opinions on the external guarantee of the company
1. During the reporting period, the guarantee occurred and extended by the company met the provisions of relevant national laws and regulations, the approval procedures were legal and compliant, and the company did not violate the guarantee.
2. As of the end of the reporting period, the company has no external guarantee.
We believe that the company has taken various measures to control the risks of guarantee and counter guarantee, without damaging the interests of the company and its shareholders, especially minority shareholders.
